Grow HR Terms of Trade


Grow Human Resources Limited's (Grow HR's) Terms of Trade as below (and as amended from time to time) are accepted.  I am authorised to sign these Terms of Trade on behalf of the following company or organisation:

Our Work

Grow Human Resources Limited (Grow HR) will provide human resources, employment relations and related specialist services based on the scope of work as instructed by the employer or business owner (or their representative), or as discussed and as agreed.

Our current terms of trade (TOT) will apply when you instruct us to provide services. This can be found on our website or can be provided by contacting admin@growhr.co.nz. Your instructions are your acceptance of the current Grow HR terms of trade.

Information collected directly and indirectly for the purposes of providing consultancy services including personal information will be used and stored in accordance with our Privacy Policy and the provisions of the New Zealand Privacy Act 2020 (and amendments/ Privacy Principles).

Working in Partnership

To enable us to provide you with the best advice and support, we need the full picture from the beginning.  Sometimes that may mean you need to share information that is uncomfortable or difficult.  You agree to give Grow HR timely, accurate and complete information that is relevant to the services we are providing, and to let us know promptly if anything changes.   If information is incomplete, inaccurate, or not provided in a timely manner or at all, this will affect the advice we can give, the options available, the time required, and the outcome.

Both parties agree to keep confidential any information that is not publicly available that is provided in connection with the engagement, unless disclosure is required by law. This obligation survives termination of any engagement.

Charge Rates

Where services are provided on a time and cost basis, our baseline hourly rates (excluding GST) are:

  • $305 per hour for specialist consultancy services
  • $285 per hour for HR administration and document support services

The minimum time charge is 15-minutes. All rates are reviewed from time to time and subject to increase with reasonable notice.

Time charged will include the total time taken for the scope of work as instructed.  Charges include but are not limited to; time spent on communications, assessment and review and consideration of information, research, drafting and quality assurance of advice and materials provided, record keeping, negotiations with other parties, and travel. Time charges will also include the level of skill and specialised knowledge required to deliver the services; the urgency of any matter/s and any time limitations imposed, along with the complexity of the matter.

Other charges include one-off set-up or licensing fees to cover intellectual property, use of Grow HR's resources and/or disbursements. Travel time is charged at the baseline hourly rate unless otherwise agreed in advance.  Mileage will be charged at the current IRD per kilometre rate.  

Any estimate provided by Grow HR is a guide only and is not a fixed fee or cap on charges. It is based on the information available at the time. Where we anticipate the actual cost will significantly exceed an estimate, we will contact you before continuing with further work.

Use of Grow HR IP and Documentation Subject to Copyright

All Intellectual Property contained within documentation and other materials provided remain the exclusive property of Grow HR. We grant you a limited license to use and reproduce this documentation solely for the purposes in the agreed scope of work. This documentation must not be shared, distributed, or supplied to any third party for commercial use without obtaining prior written consent from Grow HR. 

Your right to use this documentation does not extend to modifying, removing, or otherwise altering any rights-related information included with it. This includes, but is not limited to, copyright notices, creator details, or metadata that recognises Grow HR ownership. Any notices or rights-related information embedded in or attached to the documentation must remain intact.  We ask that you take all reasonable steps to respect and preserve Grow HR’s copyright and other associated rights.

Guarantee

We are committed to delivering quality advice and services and hold professional indemnity insurance. If you are dissatisfied, we ask that you raise this with us promptly, so we have the opportunity to address your concerns.

If a dispute arises, both parties agree to first attempt to resolve it informally. If the matter remains unresolved within 15 business days, either party may pursue any other legal remedy. 

To the extent permitted by law, Grow HR's total liability to you for any claim arising out of or in connection with our services is limited to the fees paid by you for the specific services giving rise to the claim. Grow HR is not liable for any indirect, consequential, or economic losses.

Additional Work

Estimates are confined to the scope agreed. If additional services and time are required, or there are changes to the scope of work you originally specified, they will be additionally charged.

Payment and Interest on Overdue Accounts

Invoices are issued monthly in arrears for charges and disbursements.  Payment is due in full by the 20th of the month in which the invoice was issued.    

Grow HR will charge interest at 5% per month on overdue accounts. If you default on payment your business/organisation will also be liable for any internal administration fees, debt collection fees, court costs and legal fees incurred by Grow HR relating to overdue account collection. 

Grow HR reserves the right to suspend all services where an account remains overdue.

Termination of Services

Grow HR reserves the right to terminate services immediately if invoices remain unpaid beyond the due date, or if the Grow HR/client relationship becomes untenable. All charges for services up to the date of termination remain payable.
